1. AUTHORITY TO ACT

You hereby appoint Dorrington Media as your authorized Media Buying Agent. You grant us the full authority to negotiate, sign, and execute media insertion orders (IOs) and programmatic bids with broadcasters, streaming platforms, and DSPs (including but not limited to Nine, Seven, Paramount, Kayo, Disney+, and 10Play) on your behalf for the duration of this campaign. You acknowledge that we act as the principal in the media transaction to secure bulk inventory rates.

2. THE TERM (The “3-Month Rule”)

2.1 Minimum Commitment: To ensure campaign frequency and performance, all Media Packages (The Local Legend, The City Discoverer, The State Dominator) are subject to a Strict 3-Month Minimum Commitment. 2.2 No Early Cancellation: You acknowledge that you are purchasing a quarterly strategy billed monthly. You cannot cancel or pause payments during the initial 90-day period. 2.3 I understand I am committing to a fixed 3-month quarterly strategy. I acknowledge that this is a 90-day campaign block and cannot be cancelled or paused during this initial period.

3. CREATIVE PRODUCTION & ASSET PACKAGES

3.1 Scope of Production Tiers: The scope of work is strictly defined by the Tier selected at the point of sale:

• Tier 1: The Quick Cut ($599): Limited to the assembly of Client-Supplied assets (photos/video) into a 15 or 30-second broadcast-ready file. Includes basic text animation, professional Voice Over, and royalty-free music.
• Tier 2: The Motion Feature ($799): Includes everything in Tier 1, plus AI “Photo-to-Video” Enhancement (animation of up to 3 static images), enhanced motion graphics, dynamic text, and a fully animated end screen/logo reveal.
• Tier 3: The Director’s Cut (From $1,500): A custom full-service production involving on-location filming. Specific inclusions (crew size, hours on site, scripting) are governed by the separate “Production Quote” provided upon consultation.

3.2 AI Technology & Limitations (Tier 2 Specific): For “The Motion Feature,” You acknowledge that the “Photo-to-Video” generation uses generative AI technology. While we strive for realism, AI content may contain minor visual artifacts standard to the technology. We guarantee broadcast technical compliance (CAD/ClearAds) but do not offer “reshoots” or unlimited regeneration of AI scenes if the aesthetic preference varies from the standard output.

3.3 Revisions:

• Tier 1 & Tier 2: Include one (1) round of revisions (text edits, logo swaps, or voiceover script adjustments). Complete concept changes after the script has been approved will incur a re-generation fee ($250).
• Tier 3: Revisions are defined in your specific Production Quote.

3.4 Acceptance: Final delivery of the video file constitutes acceptance of the creative. Any changes requested after final delivery will be billed as a new edit.

4. MEDIA BUYING & INVENTORY (The “Blended Strategy”)

4.1 Network Mix: To maximize reach and ROI, Dorrington Media reserves the right to optimize inventory allocation across our premium partner network (7Plus, 9Now, 10Play, Paramount+, Kayo, and Disney+, and similar premium publishers) via StackAdapt DSP. We do not guarantee a fixed percentage of impressions on any single specific channel. 4.2 Delivery Guarantee: We guarantee the delivery of the quoted “Total Impression Count” (e.g., 15,000, 25,000 or 55,000 views). If market volatility prevents full delivery within the scheduled month, the campaign will be automatically extended until the impression goal is reached (“Make Good”). Cash refunds are not issued for under-delivery. 4.3 Go-Live Timeline: “72-Hour Go-Live” is subject to Network Moderation. Dorrington Media is not liable for delays caused by network ad-policy reviews (e.g., if StackAdapt holds an ad for text review).

5. TRACKING & PIXEL

5.1 Installation: We will provide a “Smart Pixel” code. It is your sole responsibility to install this code on your website header. We are not liable for data gaps caused by failure to install the pixel. 5.2 Attribution: You acknowledge that “View-Through” attribution (tracking users who saw the TV ad and visited the site later) is probabilistic and based on cross-device data.

6. PAYMENTS & CANCELLATION

6.1 Pre-Payment: All media costs are billed upfront to secure inventory. Media will not go live until funds are cleared. 6.2 GST: All prices quoted in this agreement or on the website are exclusive of GST unless expressly stated otherwise. GST will be added to the final invoice amount at the statutory rate (10%). 6.3 No Refunds: Due to the immediate real-time bidding costs of media reservation and AI generation, all sales are final. No refunds can be issued once the “Onboarding Form” is submitted or media inventory is booked. 6.4 Failed Payments: If a monthly payment fails during the 3-month commitment, we reserve the right to pause the campaign immediately and pursue the outstanding balance via debt collection.

7. GENERAL

7.1 Brand Safety: We utilize industry-standard filters to ensure brand safety. However, Dorrington Media is not liable for the specific context of news/programming adjacent to the ad slot (e.g., breaking news). 7.2 Jurisdiction: This agreement is governed by the laws of Victoria, Australia, and is subject to the jurisdiction of the courts in Melbourne.
